These Terms of Service ("Terms") form an agreement between you and PaycheckHQ Inc. ("PaycheckHQ," "we," "us") governing your access to and use of our website, employer dashboard, employee portal, mobile experiences, and API (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
PaycheckHQ provides software to help businesses run payroll, file associated payroll taxes, manage HR and benefits information, and give employees self-service access to pay stubs, W-2s, and related documents. PaycheckHQ is a software and administrative service — it does not provide legal, tax, or accounting advice, and use of the Service does not create an accountant-client or attorney-client relationship.
You must be at least 18 years old and able to form a binding contract to create a PaycheckHQ account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
As the employer, you are responsible for the accuracy and legality of all information you submit — including wages, hours, classifications, tax elections, and employee personal information — and for classifying workers correctly under applicable law. You are responsible for reviewing and approving each payroll run before it is submitted; PaycheckHQ processes payroll based on the information and approvals you provide.
If you access the Service as an employee through your employer's account, your access and the accuracy of the payroll data displayed to you are controlled by your employer. Direct payroll corrections (hours, rate, deductions) to your employer's payroll administrator; direct portal access issues to PaycheckHQ support.
If you access the Service on behalf of client businesses under a multi-client or white-label arrangement, you are responsible for having appropriate authorization from each client to act on their behalf, and for maintaining the confidentiality of each client's data.
PaycheckHQ calculates and files payroll taxes based on the information provided by the employer and applicable, current tax rules. PaycheckHQ is not liable for penalties, interest, or other consequences arising from inaccurate, incomplete, or late information provided by the employer, or from an employer's failure to review and approve a payroll run by the required deadline. Employers remain the party legally responsible for their payroll tax obligations.
Always review each payroll run for accuracy before approving — PaycheckHQ automates calculation and filing, but the employer controls what is submitted.
Paid plans are billed monthly or annually as selected at signup, based on the pricing published on our pricing page at the time of purchase. Fees are non-refundable except where required by law. We may change our fees with at least 30 days' notice before the change applies to your account; continued use after that date constitutes acceptance of the new fees. Free trial terms, where offered, are as stated at signup.
White-label and multi-client features are available on qualifying plans and let an agency present the Service under its own branding to its clients. The agency remains responsible for its own terms of service and privacy policy with its clients, and for ensuring those terms are consistent with these Terms and applicable law. PaycheckHQ remains the underlying service provider regardless of branding.
API access is available on qualifying plans, subject to the rate limits and usage guidelines in our developer documentation. You may not use the API to build a product that directly competes with PaycheckHQ's core payroll offering, to circumvent per-seat or per-employee pricing, or in a way that degrades Service availability for other customers. We may suspend API access that we reasonably believe poses a security or stability risk.
You agree not to: submit false or fraudulent payroll or tax information; use the Service to violate any law, including wage-and-hour or worker classification law; attempt to gain unauthorized access to another account or to our systems; reverse-engineer or resell the Service without authorization; or interfere with the Service's operation or security.
PaycheckHQ and its licensors own all rights, title, and interest in the Service, including its software, design, and branding. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of the payroll, employee, and business data you submit ("Customer Data"), and grant us a license to use it solely to provide and improve the Service.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYCHECKHQ'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO PAYCHECKHQ IN THE 12 MONTHS BEFORE THE CLAIM AROSE, AND PAYCHECKHQ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability arising from PaycheckHQ's gross negligence or willful misconduct.
You agree to indemnify and hold PaycheckHQ harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms, or your violation of applicable law, including inaccurate payroll or tax information you submitted.
You may cancel your account at any time from account settings or by contacting support; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access for material breach of these Terms, non-payment, or if required by law or by a payment or banking partner. Upon termination, we will make Customer Data available for export for a reasonable period, consistent with our data retention obligations described in the Privacy Policy.
These Terms are governed by the laws of the state in which PaycheckHQ Inc. is incorporated, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will first be addressed through good-faith negotiation, and if unresolved, through the courts or arbitration process specified in your order form or, absent one, the courts located in that state.
We may update these Terms from time to time. If we make material changes, we will notify account holders by email and update the "Last updated" date above. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
